Terms of Service

1. Acceptance of Terms

By accessing and using TIN Validate ("the Service"), operated by SysWithIT SASU, you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, you should not use the Service.

Paid access to the Service is intended only for business, professional, commercial, regulatory, compliance, reporting, integration, API, or other non-consumer purposes. You must not purchase or use paid access for personal, household, domestic, consumer, or non-professional purposes.

2. Description of Service

TIN Validate provides Tax Identification Number (TIN) validation services for business and professional users. Our service validates TIN formats, structures, and checksums for supported countries and territories listed in our documentation through our web interface and API. Coverage and validation depth may vary by country, territory, TIN type, and the rules or official source material available.

The Service is provided on a credit-based model where users purchase validation credits or subscribe to unlimited validation plans.

3. Payment Processing

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record and authorised reseller for all paid orders. Paddle processes checkout, payments, applicable taxes, invoices, subscriptions, cancellations, chargebacks, and refunds in accordance with Paddle's terms and policies.

By making a purchase, you agree to Paddle's Buyer Terms and, where applicable, Paddle's Refund Policy.

Paddle's terms govern the checkout and payment transaction. These Terms govern your access to and use of TIN Validate, including validation credits, subscriptions, web access, API access, and product support provided by SysWithIT SASU.

Before a paid order is created, you may be required to confirm that you are purchasing and using TIN Validate for business or professional purposes and not as a consumer or non-professional.

4. Business Use Only

TIN Validate is a business-to-business service. By creating a paid order, purchasing validation credits, subscribing to a plan, using API access, or using paid Service features, you represent that you are acting for business, professional, commercial, regulatory, compliance, reporting, integration, API, or other non-consumer purposes.

The paid Service is not intended for personal, household, domestic, consumer, or non-professional use. If you are acting as a consumer or non-professional, you must not purchase paid access. If you believe you purchased in error for a personal, household, domestic, consumer, or non-professional purpose, contact us promptly before using credits, API access, or subscription benefits.

We may refuse, cancel, suspend, or reverse any purchase where we reasonably believe the Service is being purchased or used for personal, household, domestic, consumer, or non-professional purposes.

This business-use restriction does not exclude or limit any mandatory rights that cannot be excluded under applicable law. If mandatory consumer or other mandatory law applies despite this restriction, those rights remain unaffected.

5. User Account

To access certain features of the Service, you must register for an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your use complies with applicable laws
  • Providing accurate and up-to-date information
  • Notifying us immediately of any unauthorized use

6. API Usage

If you access the Service via our API, you agree to:

  • Use API keys only for their intended purpose
  • Keep API keys secure and not share them publicly
  • Respect rate limits and fair usage policies
  • Not attempt to bypass security measures

7. Acceptable Use

Your use of the Service must comply with these Terms and our Acceptable Use Policy, which forms part of these Terms.

You must not use the Service for unlawful activity, fraud, money laundering, sanctions evasion, abusive automation, credential sharing, resale without permission, attempts to bypass rate limits or access controls, denial-of-service activity, malware, security probing, or any activity that could harm the Service, other users, Paddle, payment systems, or third parties.

We may suspend, throttle, restrict, or terminate access, disable API keys, refuse transactions, or take other reasonable action where we detect or reasonably suspect prohibited use, abuse, fraud, security risk, chargeback abuse, or violation of these Terms or the Acceptable Use Policy.

8. Customer Data and Validation Results

You are responsible for the data, TINs, country selections, API requests, and other information you submit to the Service. You must have all rights, permissions, notices, and legal bases needed to submit that data to TIN Validate and to process, store, use, and receive validation results in your own systems and workflows.

You are responsible for the accuracy, quality, legality, and appropriateness of your input data and for your use of any validation result. You must not submit data or use validation results in a way that violates privacy, data protection, tax, employment, financial, sanctions, consumer, anti-money-laundering, or other applicable laws.

Validation results are technical outputs based on the rules available to the Service at the time of validation. You are responsible for deciding whether and how to rely on those outputs. You should not use the Service as the sole basis for legal, tax, regulatory, financial, onboarding, KYC, AML, sanctions, credit, employment, or other material decisions.

9. Credits and Subscriptions

Validation credits are digital credits used to access completed TIN validation requests. Unless expressly stated otherwise at purchase, unused credits from credit bundles do not expire.

One completed validation request consumes one validation credit, whether the submitted TIN is reported as valid or invalid. Credits are not consumed where a validation cannot be completed due to an unsupported country, invalid request format, or a material technical failure of the Service.

Subscription plans provide unlimited validations during the active subscription period. While your Pro subscription is active, completed validations do not consume your credit balance. Unlimited access remains subject to these Terms, our Acceptable Use Policy, rate limits, fair use, and technical and security controls.

"Unlimited" does not mean unrestricted, abusive, automated, resale, bulk scraping, or unlawful usage. We may apply, adjust, or enforce rate limits, concurrency limits, request size limits, anti-abuse controls, security checks, or temporary throttling where reasonably necessary to protect the Service, other users, Paddle, payment systems, or third parties.

API access requires a paid subscription or at least one completed paid credit bundle purchase. Non-Pro users must also have available credits to perform API validations.

Credits have no cash value, are not stored money or electronic money, are not transferable, and cannot be exchanged, resold, withdrawn, or redeemed for cash. Credits and subscription access may be suspended, reduced, or removed where required to address fraud, abuse, chargebacks, unlawful activity, account deletion, or breach of these Terms, subject to any mandatory rights you may have under applicable law.

10. Intellectual Property

The Service and its original content, features, and functionality are owned by SysWithIT SASU and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. While we strive for accuracy, we do not guarantee that validation results are error-free. Users should verify critical TIN data through official government sources.

TIN Validate checks technical validation rules such as format, structure, and checksum rules where available. The Service does not confirm a person's or entity's identity, tax registration status, ownership or control of a TIN, sanctions status, know-your-customer status, anti-money-laundering status, or whether your use of a TIN satisfies any legal, tax, regulatory, reporting, or compliance obligation.

12. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, or any mandatory liability that cannot be excluded under applicable law. Nothing in these Terms affects any mandatory rights that cannot be excluded under applicable law.

To the maximum extent permitted by applicable law, SysWithIT SASU is not liable for indirect, incidental, special, consequential, punitive, exemplary, or similar damages, or for loss of profits, revenue, business, contracts, goodwill, anticipated savings, data, use, compliance outcomes, tax positions, regulatory filings, or business interruption, even if we have been advised of the possibility of such losses.

For business customers, and to the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of the amount you paid for the Service during the 12 months before the event giving rise to the claim or EUR 100. This limitation applies whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory.

13. Termination

We may suspend, restrict, or terminate your access to the Service, disable API keys, or block future transactions where you breach these Terms, fail to pay amounts due, misuse credits or subscriptions, violate the Acceptable Use Policy, engage in fraud, refund abuse, chargeback abuse, unlawful activity, attempts to bypass limits or access controls, or where your use creates a security, legal, operational, payment, or reputational risk for TIN Validate, Paddle, other users, payment systems, or third parties.

We may also suspend or terminate access where required to comply with applicable law, regulatory requirements, court orders, sanctions rules, payment processor requirements, or requests from competent authorities.

Where reasonable and legally required, we will provide notice before suspension or termination. We may act immediately and without prior notice where necessary to protect the Service, prevent abuse or fraud, respond to chargebacks or payment disputes, comply with legal obligations, or address an urgent security or operational risk.

Upon termination, your right to use the Service will cease. Subject to mandatory law, you may lose access to unused credits, API keys, validation history, subscription benefits, or account data associated with the terminated account. Termination does not affect rights or obligations that accrued before termination, including payment obligations, refund limitations, liability limits, intellectual property rights, and provisions intended to survive termination.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the new terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

For all permitted business and professional users, any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of France, unless mandatory law requires otherwise.

If mandatory consumer or other mandatory law applies despite the business-use restriction in these Terms, this choice of law and jurisdiction clause does not deprive you of any rights or court protections that cannot be excluded by contract.
